一 |     其实不光是投资并购，任何风控策略实际都应该是动态的，追求的是一个平衡。                   任何事都不是非左即右，非黑即白，没有绝对的好坏、对错，更没有绝对合适的风控标准、内控制度。

三 |                    2. 人                    就是参与项目的这些人的风险。                   事咱们判断完了，那同一件事，不同的人干，就是不同的结果啊。                   可能一个低风险的项目，让他一干，成高风险了，很正常。                   所以咱们得研究人。                   分两种，一种是关于专业能力的判断，这个专业能力包含他的技术、他对团队的影响、对公司的治理、对商业的认知等等。                   另一种是团队关系，信用、个人情况等。                   他可能一切都很好，顶级商业水平，但他赌、毒，等等诸如此类，明白吧。

四 |                    我这个例子偏激，但就是这么个道理，就是你要关注他的个人情况，他个人的风险，就是会牵连到你。

五 |                    任何事都不是独立存在的，背后都有千丝万缕的关联，所以你们不要单独地去看。这个人，你要了解他的一切，形成一个完整的用户画像。                   3. 掌控力                    就是你们对这个项目的掌控力，控制能力，不同的情况对应不同的策略。                   这体现的是投资人的行业能力，企业经营管理能力。                   这放现在听着都新鲜，但是正常来讲，一个合格的投资人，应该具备接盘能力。

六 |                    就是这个项目交给他运营，他能接得住，甚至扭亏为盈，走向辉煌。                   他应该在行业内有深厚的资源，他应该是这个目标行业的大佬，曾经有过辉煌的战绩。                   这才叫赋能，不是上个系统，介绍个上下游，介绍了半天最后就是拼缝。                   你想想什么叫掌控力，就是他忽悠不了你，你比他还懂。                   只有这样才不会像现在似的，存在大量的信息差，信息滞后，这么被动。                   当你是行业大佬的时候，就算不参与项目的管理，你对这个项目也是有掌控力的，因为你扫一眼全看得懂。                   所以投资机构真不是规模越大越好，而是越专精越好，根本也不应该有这么多投资机构、投资人。                   要足够聚焦，才能在一个行业深耕，有影响力，甚至可以制定规则，然后才能谈投资，谈孵化。                   现在很多投资人连500人以上的公司都没呆过，更没做过中高管，不懂经营管理，因为他是职业投资人。

七 |                    实践是检验真理的唯一标准，他没实践过啊，他能有掌控力吗。

八 |                    所以信我的，你要想不鸡肋，就别太早进投资机构，走到最后，很容易华而不实。                   说白了，所谓职业投资人，就是做资金业务的。                   那咱们一样，都是放贷的，哈哈，放贷的没什么不好，最起码不自己骗自己。                   这是能力方面哈，还有就是条款条件嘛，就是你能拿到多少权利。

九 |                    你有这个能力，还要有对应的权利。                   这个也是，不同的情况咱们用不同的风控策略。                   也许事风险高，人也一般，但是你牛逼，掌控力强，权利也拿得多，能主持大局，那这事，咱们就可以玩。                   4. 时间                    就是你参与这个项目的时间周期，或者说你拿这个资产，准备持有多长时间。                   这个很多人也忽略了。                   一定要考虑时间啊，一切都会变的啊。                   你拿的时间长和时间短，一定是不同的策略啊。                   咱们眼下判断这个事行，十年后呢？还行吗？                    眼下判断，这些人行，十年后呢？还行吗？人是最善变的啊。                   一切都在变，市场、经济、技术、项目的发展情况、个人情况，一切都在变。                   那你就要考虑啊，衡量啊，短期，咱们可以赌，可以先进先出，跑得快。                   长期呢？咱们还能赌吗？赌人性？人性最经不住考验了。                   时间一长，变数就多，你看看企业里各种改朝换代、二代接班，都会伴随出现很多问题的。                   这就跟那天我说拿黄金一个道理，你目的是炒，是交易，那无所谓，你买数字、买纸都行。                   但你如果目的是长期的资产配置，那你就要拿实物，不要赌任何东西。

十 |                    想清楚到底拿多久，什么策略，半路能不能变？能啊，你风控策略跟着变就行啦。                   时间长了，事会变、人会变，你也会变。                   就是你的掌控力也会变，曾经你控制得住，10年以后呢？未必吧？                    明白了吗，要考虑时间周期！                    基于事、人、掌控力、时间这四个点的情况，去决定你用什么风控策略，怎么谈条件，怎么还价，要什么，舍什么。                   没有统一标准，没有绝对对错，都是动态的，你根据情况去选择就好了。

十一 |                    这四个点，如果按重要性排序。                   我认为，最重要的是掌控力，其次是事、其次是时间、其次是人。                   这只是我的个人偏好，因为我的逻辑就是，不懂就搞不了，就挨忽悠，挨骗，就会被动，就会失去主动权，就会失控，受制于人。

十二 |                    人其实反而是最不重要的，不管是人的能力，还是人性。                   实际上掌控力不仅包含对项目的掌控，也包含对人的掌控，这是另一种顶级的能力了。                   那你看哈，你基于这四点综合考量以后，选择了一个风控策略，然后就是一成不变的了吗？                    不是吧？                    时间在走，一切在变，那你的风控策略，也要跟着变。                   实际上不光是风控策略，你的一切制度都应该跟着变。

十三 |                    可能5年前，你的筹码是那个价，5年后就不是了，可能多了，可能少了，因为市场变了，生产资料变了，生产方式变了。                   就像人工一样，你看看这30年，一会值钱，一会不值钱，在这里值钱，在那里不值钱。                   所以你要调整，要追求的是一个动态的平衡。                   只有一直维持一个平衡的状态，你这个项目风险才小。                   这个世界能维持稳定，一方面靠的是秩序，另一方面主要靠的就是平衡，因为秩序是用来维持平衡的。                   实际上，咱们做尽调，就是基于我以上说的四个点，去调查论证，调查人、论证事、算算账、衡量一下风险、数数自己的筹码，探探对方的底牌底线。

十四 |                    记住，永远可以赌，可以富贵险中求，可以刀口舔血。
